Anthropic files its S-1 and claims the ticker ANT

The Claude maker is officially on the road to what could be the largest stock market debut ever.

Anthropic, PBC publicly filed a Form S-1 with the SEC on Monday for an IPO of its Class A common stock, which it intends to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares and the price range have not been set, and the registration is not yet effective.

The company first filed confidentially in June. CNN reports trading could begin as early as the week of November 16, and NBC News says Goldman Sachs and Morgan Stanley are leading the offering. AP cites reports that the deal could raise as much as $100 billion.

Valuation talk is moving. Reuters reported that some investors at last week's investor day discussed roughly $1.5 trillion, down from about $2 trillion previously expected. Anthropic's last private round in May valued it at $965 billion.

By the numbers: hypergrowth, a headline loss, and a $112B cash pile

Most of the $80.7B first-half loss is non-cash. The revenue line is the story.

Revenue for the six months ended June 30 was $16.3 billion, up from about $1.1 billion a year earlier. NBC News reports second-quarter revenue grew 1,368% year over year, while the cost of renting servers and chips rose about 300% over the same period.

The net loss was $80.7 billion for the half, compared with $13 billion a year earlier. Reuters says $72 billion of that is an accounting charge from the rising fair value of convertible notes, which tracks Anthropic's climbing valuation rather than operating cash burn. The company lost $42 billion in 2025.

Anthropic reported $112.4 billion in cash and equivalents and has raised about $141 billion through June. It says that should cover the next 12 months but warns it may need financing sooner.

Who steers the colony: a trust, seven founders, and one special share

Public ANT buyers get one vote per share and very little say over big decisions.

Anthropic stays a Delaware public benefit corporation. Its Long-Term Benefit Trust of five financially disinterested trustees holds Class T stock that elects a majority of the board.

Just before the IPO closes, a Founder LLC owned by the seven co-founders (Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish and Christopher Olah) receives one Class F share carrying 50.1% of total voting power. Class A holders get one vote per share. Class N shares, held mainly by strategic partners, have no general vote. Class E employee shares have limited voting rights.

That makes Anthropic a "controlled company" under Nasdaq rules. The filing warns the structure "may effectively eliminate the ability of holders of our Class A common stock to influence important decisions, including a change in control."

Draft S-1 shows a first-half loss above $80 billion

Revenue jumped to $16.3B as infrastructure spending nearly quadrupled.

Reuters, citing the Wall Street Journal, reported that Anthropic lost more than $80 billion in the first half, up from $13 billion a year earlier, driven by $72 billion in charges tied to the value of financial instruments it issued to raise money. Revenue rose to $16.3 billion from $1.1 billion, and AI infrastructure spending nearly quadrupled to almost $9 billion.

Some investors at the company's investor day discussed a valuation around $1.5 trillion, below the roughly $2 trillion previously expected.

Adjusted profitability for a second straight quarter, but growth is slowing.

At an October 14 investor meeting, Anthropic told prospective IPO investors that third-quarter revenue rose 45% to $16.8 billion from the previous quarter, Reuters reported.
