The S-1 is public. Meet $ANT.

Anthropic made its IPO prospectus public on Monday and named its Nasdaq ticker: ANT. The filing shows explosive revenue, a giant accounting-driven loss, a quarter-trillion dollars in compute commitments, and a control structure that leaves public buyers with economics, not the steering wheel.

Anthropic files its S-1 and claims the ticker ANT

The Claude maker is officially on the road to what could be the largest stock market debut ever.

Anthropic, PBC publicly filed a Form S-1 with the SEC on Monday for an IPO of its Class A common stock, which it intends to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares and the price range have not been set, and the registration is not yet effective.

The company first filed confidentially in June. CNN reports trading could begin as early as the week of November 16, and NBC News says Goldman Sachs and Morgan Stanley are leading the offering. AP cites reports that the deal could raise as much as $100 billion.

Valuation talk is moving. Reuters reported that some investors at last week's investor day discussed roughly $1.5 trillion, down from about $2 trillion previously expected. Anthropic's last private round in May valued it at $965 billion.

By the numbers: hypergrowth, a headline loss, and a $112B cash pile

Most of the $80.7B first-half loss is non-cash. The revenue line is the story.

Revenue for the six months ended June 30 was $16.3 billion, up from about $1.1 billion a year earlier. NBC News reports second-quarter revenue grew 1,368% year over year, while the cost of renting servers and chips rose about 300% over the same period.

The net loss was $80.7 billion for the half, compared with $13 billion a year earlier. Reuters says $72 billion of that is an accounting charge from the rising fair value of convertible notes, which tracks Anthropic's climbing valuation rather than operating cash burn. The company lost $42 billion in 2025.

Anthropic reported $112.4 billion in cash and equivalents and has raised about $141 billion through June. It says that should cover the next 12 months but warns it may need financing sooner.

Who steers the colony: a trust, seven founders, and one special share

Public ANT buyers get one vote per share and very little say over big decisions.

Anthropic stays a Delaware public benefit corporation. Its Long-Term Benefit Trust of five financially disinterested trustees holds Class T stock that elects a majority of the board.

Just before the IPO closes, a Founder LLC owned by the seven co-founders (Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish and Christopher Olah) receives one Class F share carrying 50.1% of total voting power. Class A holders get one vote per share. Class N shares, held mainly by strategic partners, have no general vote. Class E employee shares have limited voting rights.

That makes Anthropic a "controlled company" under Nasdaq rules. The filing warns the structure "may effectively eliminate the ability of holders of our Class A common stock to influence important decisions, including a change in control."

The compute bill: Amazon, Google, SpaceX and Microsoft

The S-1 shows multi-year cloud commitments that dwarf current revenue.

NBC News details Anthropic's commitments: at least $110 billion with Amazon through April 2036, $120 billion with SpaceX through 2029, $115 billion with Google through 2033, and $45 billion with Microsoft through 2033.

TechCrunch, citing the draft filing reported by the Wall Street Journal, says Anthropic believes it could spend more than $750 billion on cloud contracts, including deals still under negotiation. It is also leasing its own data centers, and it flags that hyperscalers increasingly treat it as a competitor.

A prospectus that warns about existential risk

Risk factors range from compute shortages to models that act on their own.

In language rarely seen in an IPO filing, Anthropic warns that advanced AI "could, if not developed, deployed, and operated with appropriate safeguards, oversight, and security measures, pose catastrophic or existential risks to humanity," BBC News reports. The company also says it will sometimes make forward investments that may look "irresponsibly large."

Other flagged risks include customer concentration (TechCrunch reports two customers made up about a fifth of sales), reliance on cloud providers that are also investors and competitors, misaligned or autonomous model behavior, and possible liability for AI-caused harm that exceeds insurance coverage.
